SEO NEURONS SPIDER END USER LICENSE AGREEMENT Version 1.0 | Document date: 22 October 2026
Publisher: Ashok Kumar, sole proprietor trading as SEO Neurons Address: 252/6, Barwala, Hisar, Haryana, India - 125121 Contact: contact@seoneurons.com Website: https://seoneurons.com
Please read this agreement before accepting it. It governs the proprietary parts of SEO Neurons Spider (the "Application") supplied by the Publisher ("we", "us"). "You" means the person accepting it, or the organisation on whose behalf that person is authorised to accept it.
The third-party exceptions in section 8 and Schedule A are part of this agreement. They take priority over conflicting Application restrictions.
1. ACCEPTANCE AND SCOPE
This agreement takes effect for you when, after being given the opportunity to read and retain it, you select the acceptance control presented with the Application or expressly accept it through another agreed process. If you do not agree, do not accept or use the proprietary Application. Declining this agreement does not remove rights you independently hold under a third-party license or applicable law.
This agreement covers the desktop Application and its accompanying documentation. An expressly agreed order or licence grant may specify your plan, duration and permitted users or devices. It does not override third-party licenses. Website accounts, purchases and optional external services may have separately presented terms. No paid purchase, recurring charge or payment authorisation is created by accepting this agreement.
2. APPLICATION LICENSE
Subject to this agreement, we grant you a non-exclusive license to install and use the proprietary Application in executable form, within the features, duration and user/device limits of your issued entitlement. The license is for your personal or business use, including authorised website analysis for clients. You may share your own reports and exports with clients, subject to the rights in the underlying website content and other data.
You may use the Application's supported automation and integration features within the same entitlement. You may keep one backup copy of the complete Application for reinstallation. Further copying rights for third-party components remain available under their own licenses.
An activation limited to one computer permits one activated computer at a time. Use the supported deactivation and activation process to change it, or contact us if the old computer is unavailable. Reinstallation or a device change does not create an additional entitlement. Keep account and license credentials secure; do not sell or share them to evade limits.
Unless an expressly agreed plan permits it, this grant does not authorise reselling or sublicensing the proprietary Application, renting access to it, or providing shared access to it as a hosted software service. Providing client analysis and reports using your own licensed installation is allowed.
3. FREE ACCESS, INTRODUCTORY ACCESS AND VERIFICATION
Available features depend on the entitlement shown in the Application and the terms presented when it is issued. Free access does not itself grant Pro features. The current complimentary introductory offer provides one Pro license per verified account, for 60 days from email verification, with one activated computer. It does not automatically become a paid subscription. The terms of an already issued grant continue for that grant; future offers may differ if their terms are disclosed before issuance.
Pro activation and verification require communication with our licensing service. With a saved activation, the Application checks entitlement when it starts. An eligible, unexpired, signed offline lease may allow access when the service cannot be reached. An authoritative denial or invalid license cannot be overridden by going offline.
A successful startup check grants access for that running Application session; ordinary time-based expiry is checked again when the Application next starts. Deliberate activation or deactivation can change access during a session. At a later startup, an expired or unavailable entitlement may leave only Free features available. Continued session access does not renew the subscription or create a perpetual license. These provisions do not limit independent third-party rights under section 8 and Schedule A.
This agreement does not promise an always-available licensing service, permanent offline activation or future paid plans. Any future purchase, renewal, cancellation and refund terms must be presented separately before payment; mandatory rights to refunds or other remedies are preserved.
4. OWNERSHIP AND PROPRIETARY RESTRICTIONS
The Application is licensed, not sold. We retain rights in our proprietary code, original interface assets and documentation; third-party owners retain their rights. No right to obtain or publish our independent proprietary source code is granted by this agreement.
Subject always to applicable law, section 8 and Schedule A, you must not:
- (a) copy, modify, translate, distribute or create derivative versions of our proprietary Application beyond the rights expressly granted;
- (b) reverse engineer, decompile or disassemble the proprietary Application to derive its source code;
- (c) bypass its license or device limits to obtain unauthorised paid features;
- (d) remove or falsify copyright, trademark, attribution or license notices;
- (e) represent that your product or service is supplied or endorsed by us without permission.
These restrictions do not apply to the extent a third-party license or applicable law grants the relevant right. In particular, they do not prohibit the modifications, replacement, relinking or reverse engineering expressly permitted in Schedule A. No additional permission or paid Application entitlement is required to exercise independent third-party license rights. Names and marks may be used for accurate attribution and other uses allowed by law.
5. YOUR USE OF WEBSITES AND DATA
You are responsible for the websites and services you choose to access and the crawl settings and actions you direct. You must have a lawful basis and any required permission to access, crawl, authenticate to or analyse them. Respect applicable access restrictions, service terms, privacy obligations and intellectual property rights. Choose crawl settings that do not intentionally overload or disrupt other systems. Do not use the Application to obtain unauthorised access, evade access controls or carry out unlawful activity.
You are responsible for ensuring that your collection, storage, copying, publication, sharing, sale or other reuse of extracted content or data is lawful, including when you incorporate it into another website, product, service or dataset. Comply with applicable copyright, database, privacy, confidentiality and data-retention requirements and obtain any necessary permissions. Content being publicly accessible or technically available to crawl does not by itself give you permission to reuse it.
The Application does not grant rights in third-party website content, screenshots, credentials or personal data. We claim no ownership of your project data, reports or credentials merely because you use the Application. You retain the rights you already have, subject to other people's rights. Keep appropriate backups and protect sensitive data, including login sessions, API credentials and information included in exports.
6. NETWORK CONNECTIONS, PRIVACY AND OPTIONAL SERVICES
Website crawling sends requests to the websites and resources you select. Account and license functions communicate with our services. Optional integrations and clients you connect can send or receive information as needed for the functions you enable. You are responsible for authorising those connections and complying with the relevant provider's terms and charges. Review outputs before relying on them, including any AI-generated analysis. Third-party services may change or become unavailable.
Where you choose to send information to, or allow it to be accessed by, third-party APIs, AI services, connected clients or other recipients, you are responsible for your choices and instructions. Before doing so, ensure you have the necessary rights and lawful basis to share that information, including any required permissions, privacy notices or consents. Check the data you make available, the access you authorise and the relevant provider's terms, including restrictions on use, storage and onward sharing. These responsibilities concern connections and disclosures you control or direct; they do not transfer our own privacy, security or other legal obligations to you.
Our applicable privacy notice must explain our handling of personal data, including the purposes, recipients, retention and choices relevant to the product. This agreement does not replace that notice, provide blanket consent for unrelated processing, or grant us ownership of your data. It does not require you to enable optional integrations or marketing.
7. UPDATES, SUPPORT AND RESULTS
We may provide updates and support. Unless separately agreed in writing, this agreement does not promise a particular support response time, an update schedule or compatibility with every website or external service. Any specific support or warranty commitment is made by us alone, not by the original authors of included components.
Crawl results reflect the content, responses, access and settings available during the crawl. They may be incomplete or inaccurate. The Application does not guarantee search rankings, traffic, revenue or legal compliance. Use appropriate judgment when acting on findings and before changing a site.
If revised Application terms are required for a later release or service, we will present them for acceptance before they apply. Posting a revised document alone does not retrospectively change this agreement. A new agreement does not remove rights already granted by third-party licenses.
8. THIRD-PARTY COMPONENTS AND PRIORITY OF TERMS
The Application includes separately licensed software, fonts and data. The accompanying legal folder and Third-party Licenses information contain their credits, original licenses and public source references. Those licenses govern the corresponding components. Schedule A explains important exceptions; it does not replace or narrow any original license.
If any provision of this agreement conflicts with a right or condition in a component's applicable license, that component's license prevails for that component and for any covered combination to which its terms apply. This includes rights to use, study, copy, modify, replace, relink, reverse engineer, obtain source or redistribute where granted. Observe the applicable notices, attribution and redistribution conditions when doing so.
Our restrictions on proprietary copying, reverse engineering, license controls, transfers and termination cannot be used to take away those rights. The independent proprietary Application does not become open source merely by using separately licensed components. No general right to redistribute our proprietary code is created beyond any rights required by an applicable third-party license or law.
The existing component notices identify exact versions and source links. Contact contact@seoneurons.com if you cannot locate them or access a source reference. That contact route supplements the supplied materials; it does not replace an obligation under an applicable component license.
9. WARRANTIES, LIABILITY AND MANDATORY RIGHTS
To the extent permitted by applicable law, and except for express written commitments we make, the proprietary Application is provided as available, without implied warranties or conditions of merchantability, fitness for a particular purpose, title or non-infringement. We do not guarantee that it will be uninterrupted or error-free.
To the extent permitted by applicable law, we exclude liability for indirect, incidental, special or consequential loss arising from use of the Application, including lost profits or lost business opportunities. This clause does not exclude responsibility for direct loss otherwise recoverable under applicable law and sets no fixed monetary cap on it.
To the extent permitted by applicable law, as between you and us, we are not responsible for claims or losses arising solely from your unlawful use of the Application or your breach of the obligations in sections 5 and 6. This exclusion does not apply to liability attributable to our own acts or omissions, or to any liability that cannot lawfully be excluded. It governs responsibility between you and us and does not remove the independent rights of website owners or other third parties.
Nothing in this agreement excludes or limits liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any liability or remedy that cannot lawfully be excluded or limited. Mandatory consumer rights, statutory guarantees, refund rights and lawful access to courts or regulators remain unaffected. This protection applies throughout the agreement, including Schedule A.
Original third-party warranty and liability provisions remain applicable to their components. We do not make commitments on behalf of their authors, contributors or suppliers. Our own obligations cannot be transferred to those parties by this agreement.
10. TERM AND TERMINATION
This agreement continues while you use the proprietary Application, subject to your entitlement and these terms. You may end it by stopping use and removing your copies of the proprietary Application.
We may terminate your proprietary Application license for a material breach that you do not remedy within 14 days after we notify you of the breach and what is required to remedy it. We may immediately suspend the affected access where necessary to comply with law or prevent an active security threat, fraud or deliberate license circumvention. Any suspension must be limited to the affected access and explained where legally permitted. Ordinary expiration of Pro access has the effect described in section 3.
On termination, stop using and remove the proprietary Application, except for copies or use protected by applicable law or Schedule A. You may retain your own data and reports. Termination does not itself authorise deletion of your data or cancel independent third-party licenses. Sections concerning ownership, third-party rights, accrued obligations, liability and disputes continue to the extent needed to give them effect.
11. APPLICABLE LAW, DISPUTES AND CONTACT
Indian law governs this agreement, subject to mandatory laws that protect you in your place of residence. You may contact us at contact@seoneurons.com or at the address above to try to resolve an issue. This is not a condition for exercising statutory remedies, meeting legal time limits or obtaining urgent relief.
Courts with competent jurisdiction in Hisar, Haryana, India may hear disputes relating to this agreement, subject to any mandatory right to use another court, consumer forum or regulator. No mandatory arbitration or waiver of collective or statutory remedies is imposed by this agreement.
If a provision is unenforceable, the remaining provisions continue to apply to the extent legally possible. This agreement and any expressly agreed entitlement or order contain the agreed terms for the proprietary Application. Mandatory law and the applicable third-party licenses retain the priority stated above. You must comply with import, export and sanctions laws that apply to your use or permitted redistribution.
SCHEDULE A - THIRD-PARTY LICENSE EXCEPTIONS
A1. LGPL components, including FFmpeg and JavaFX native libraries
Relevant components include FFmpeg in the bundled Chromium browsers and LGPL-covered WebKit, GStreamer and GLib code in JavaFX. The original notices identify the applicable LGPL version and any additional component terms.
For the covered combination, you may make modifications for your own use and reverse engineer it to debug those modifications, as required by the applicable LGPL. You may modify the covered library and rebuild, relink or replace it with an interface-compatible version, including changes to the combination necessary to exercise those rights. No proprietary restriction in this agreement prohibits those activities. If a technical measure would otherwise prevent them, we permit the adjustments necessary to exercise those rights, without granting unrelated access to paid features.
The supplied source references and component guides describe the covered sources and rebuild/relink information. Library modifications and permitted redistribution remain governed by the LGPL and other applicable component licenses. These permissions do not grant a general right to redistribute independent proprietary Application code. We may request reproduction with the supplied component version when investigating a support issue; doing so does not cancel the modification or debugging permissions above.
A2. Java and JavaFX: GPLv2 with the Classpath Exception
The covered Eclipse Temurin/OpenJDK and OpenJFX code retains GPLv2 and the applicable Classpath Exception, assembly exceptions and component notices. Your rights to its source, use, modification and redistribution remain under those terms. Our Application entitlement limits do not restrict those independent rights. The Classpath Exception permits qualifying independent modules to retain their own licenses; it does not remove the runtime's own source, notice or other license conditions. Separate native-library licenses, including A1, continue to apply.
A3. Jakarta JSON and Servlet API: EPL-2.0 and Apache-2.0
GlassFish Jakarta JSON Processing 2.0.1 and the EPL-covered portions of Jakarta Servlet API 6.0.0 are distributed under EPL-2.0. The separately identified Apache-licensed Servlet portions remain under Apache-2.0. Their source is available under the relevant licenses through the exact public source links in their accompanying component notices. These components are not relicensed under our proprietary Application terms.
You may exercise the use, copying, modification, source-access and redistribution rights granted by those licenses. Subsequent distribution must comply with the applicable license, including EPL section 3 for EPL-covered material. Those licenses do not grant rights to independent proprietary Application code.
To the extent permitted by law, the original contributors disclaim warranties and conditions, including title, non-infringement, merchantability and fitness, and liability for direct, indirect, special, incidental and consequential damages, including lost profits, as provided in their original licenses. Any different warranty, support or liability commitment we make is ours alone and does not bind those contributors.
A4. MPL-covered material
MPL-covered files, including relevant WebKit component files, retain the rights provided by the applicable Mozilla Public License. Our Application terms do not restrict obtaining, using, modifying or redistributing their source under that license. The source references are identified in the component notices. Combining those files with independent proprietary files does not place all Application code under the MPL.
A5. Other open-source software, fonts and data
MIT, ISC, BSD, Apache, Unicode, W3C and other separately licensed components retain their own permissions and conditions. Public-domain material is not made proprietary by this agreement. Preserve the original notices and any required attribution when copying or redistributing covered material; trademark and endorsement restrictions remain applicable.
Fonts licensed under the SIL Open Font License 1.1 remain under that license, including its notice, Reserved Font Name and standalone-sale conditions. The font license does not apply to your documents merely because they use the fonts.
The bundled Schema.org context data, including the adaptation identified in its attribution notice, remains under CC BY-SA 3.0. Its attribution, share-alike and other conditions apply to that data. Neither this agreement nor Application protection measures impose additional restrictions on the rights that license grants in the data. The data license does not license our independent proprietary Application code.
A6. Proprietary Microsoft runtime and SDK components
This clause concerns the proprietary Microsoft runtime, UCRT, SDK and DIA components identified in the accompanying Microsoft notices. Separately licensed open-source Microsoft components, including DirectX Shader Compiler, retain their own licenses and are not subject to these proprietary restrictions merely because Microsoft contributed to them.
You may use the supplied proprietary Microsoft components with this Application on Microsoft Windows and keep the backup permitted in section 2. Microsoft and its suppliers retain ownership. Unless a separate applicable license or law permits otherwise, you must not:
- (a) reverse engineer, decompile, disassemble or modify those components, bypass their technical limitations, or remove, minimise or alter their copyright, patent, trademark or other legal notices;
- (b) publish, extract for standalone distribution, sublicense, rent, lease, lend or transfer those components to others, or offer them as a standalone product or commercial software-hosting service;
- (c) redistribute SDK components for a non-Microsoft operating system, or include them in malicious, deceptive or unlawful software;
- (d) use Microsoft's names or marks to suggest Microsoft supplies or endorses the Application or your product; or
- (e) modify or distribute their source so as to subject Microsoft's proprietary code to a license requiring source disclosure or granting recipients a right to modify that proprietary code.
For the bundled Windows SDK code, disclosure of benchmark results of that SDK code requires Microsoft's prior written approval, except where law permits otherwise. This condition is limited to the SDK code; ordinary reviews or benchmarks of the Application or its open-source components are not prohibited by this agreement.
Any separately authorised distribution must satisfy the applicable Microsoft distribution conditions and retain required notices and end-user protections. Comply with applicable export and trade restrictions. Our publisher obligations to Microsoft remain our responsibility.
To the extent permitted by applicable law, Microsoft and its suppliers provide these components without warranties, including implied warranties of merchantability, fitness and non-infringement. Recovery from Microsoft and its suppliers is limited to direct damages of up to US$5.00; indirect, special, incidental, consequential and lost-profit damages are excluded. This protection applies to the extent permitted by law even if they were advised of the possibility of loss. It does not reduce non-waivable rights or any separate obligation we owe you. Microsoft is not required by this agreement to provide support.
These Microsoft-specific protections do not limit rights in other components under A1-A5 or any open-source exception applicable to material within a Microsoft component. Original component terms and mandatory law continue to govern.
